This is an Agreement between you and experienced-people.net (the Site). Your membership of the Forum is governed by the Terms and Conditions below, except as amended by the supplementary Agreements governing Premium Membership and the Marketplace. By using the services and facilities on this Site you will be deemed to have accepted these Terms and Conditions in their entirety.
1.1 You agree to abide by the Forum Rules.
1.2 You agree that you will not create multiple accounts.
1.3 You agree to keep confidential the user name and password to your account and not allow any other party to log into or use your account. You agree to inform the Administrators immediately on discovering that the confidentiality of your user name and password has been compromised.
1.4 You agree to provide the Administrators adequate identification (including copies of passports and driving licence) if requested from you for verification purposes in connection with your use of the Site.
1.5 You warrant that all information in your profile is accurate and will be maintained as true and correct at all times. This applies both to publicly visible data and to data provided by you that is not visible to other users.
1.6 You warrant that you will not use the Site for any illegal or fraudulent purpose.
1.7 You agree that you will not deliver harmful or destructive files to the Site.
1.8 You agree that you will not use your account to send unsolicited private messages to other members for the purpose of advertising goods, services or other products for sale.
1.9 Account suspension/deletion: Without limiting the Administrators' other rights under this agreement, the Administrators may suspend your account and your use of the Site at any time, with or without notice to you and without redress, in their sole and absolute discretion, including if they consider that you have breached this agreement, that you are using your account in bad faith or that you are using your account for activities not conducive to the good of the Site.
1.10 You acknowledge that the Administrators may at any time and without notice suspend the entire Forum or any part or parts of the Forum or its services.
1.11 You agree that your personal information including your names and contact details may be collected and that cookies may be used to facilitate and to track your use of the Site. All personal information will be handled, used, maintained and disclosed by the Administrators (or by the Owners insofar as the Administrators do not have access to the information) in accordance with all applicable privacy laws and data protection laws.
1.12 You warrant that you will not place the Site, the Owners or the Administrators in breach of any law or obligation owing to a third party.
2.1 You acknowledge that the Site is the owner of all intellectual property rights which subsist in your user account.
2.2 You warrant that your posts are not in violation of any trademarks, copyrights or other intellectual property law.
2.3 You hereby grant the Owners a royalty-free irrevocable worldwide perpetual licence for the display and use on the Site of the contents of your posts.
3.1 You acknowledge that the Site, the Owners and the Administrators make no warranties, explicit or implied, that the services will be continuously available or error-free.
3.2 You accept that you will not hold the Site, the Owners or the Administrators responsible for any unauthorised use of your account.
3.3 You agree that the Site, the Owners and the Administrators will not be liable in respect of any claim by you for direct loss, indirect loss, consequential loss, other loss or damages or injury arising out of or in connection with the provision of the services whether or not this results from any breach or negligence by the Owners or Administrators of the Site.
3.4 You acknowledge that the respective maximum liability of the Owners and the Administrators for any and all breaches of this agreement and for any act or omission will be limited to the amount of any fee paid by you to that party.
3.5 You agree to indemnify the Site, the Owners and the Administrators and their respective agents, officers and employees against any loss, cost, expense or damage (including legal costs on a full indemnity basis) suffered as a direct or indirect result of a breach of this agreement by you.
4.1 The Administrators may amend the terms and conditions of this Agreement and its supplementary Agreements at any time. Such amendments will take effect from the date of their publication on the Site and will be announced by a notice on the Forum. You acknowledge that your continuing use of the Site after amendment of the Agreement will be deemed as acceptance of the amended terms.
4.2 Unless otherwise requested in writing by you, the Administrators may use your corporate identity as part of promoting the Site, the Forum and the Marketplace.
4.3 Any notice given under this Agreement or its supplementary Agreements must be in writing and must be signed by the party giving the notice or its agent.
4.4 This Agreement supersedes all prior agreements. Insofar as the terms and conditions of this Agreement's supplementary Agreements are in conflict with this Agreement, those terms and conditions shall have precedence.
4.5 No part of this Agreement or its supplementary Agreements may be waived except in writing signed by an authorised representative of the Owners or the Administrators.
4.6 If any part of this Agreement or its supplementary Agreements is judged invalid or unenforceable for any reason whatsoever by a court of competent jurisdiction, such invalidity or unenforceability will not affect the validity or enforceability of any other part of this Agreement or its supplementary Agreements.
4.7 The Owners and the Administrators may assign any or all of their respective rights and obligations under this Agreement and its supplementary Agreements. You may not assign your rights or obligation without the prior written consent of the Owners and the Administrators (which may be withheld at their absolute discretion).
4.8 This Agreement and its supplementary Agreements are governed by the law of England and Wales. The parties agree to submit any dispute to the exclusive jurisdiction of the courts in England and Wales.
